Agreement to terms
These Terms of Service ("Terms") govern your access to and use of the Better Ledgers website, products, and services (the "Services"). By using the Services, you agree to these Terms. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.
Accounts and eligibility
- You must be at least 13 years old to use the Services.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
- You must provide accurate, complete information and keep it current.
Acceptable use
You agree not to:
- Violate any applicable law or infringe others’ rights
- Upload or transmit malware or harmful code
- Attempt to access non-public areas or impair the integrity or performance of the Services
- Reverse engineer, decompile, or attempt to derive source code except as permitted by law
- Use the Services for high-risk activities where failure could lead to death, personal injury, or environmental damage
Customer data and content
- You retain all rights to content and data you submit to the Services ("Customer Data").
- You grant us a worldwide, non-exclusive license to host, store, process, transmit, and display Customer Data as necessary to provide and improve the Services and to comply with law.
- You are responsible for your Customer Data and for obtaining all necessary rights and consents.
Intellectual property
The Services, including software, documentation, and content we provide, are owned by Better Ledgers or its licensors and are protected by intellectual property laws. Except as permitted in these Terms, no license or transfer of rights is granted.
Beta features
We may make beta or pre-release features available. They are provided "as is," may be modified or discontinued, and may be subject to additional terms.
Third-party services
If you enable integrations or use third-party services with the Services, your use of those services is governed by their terms. We are not responsible for third-party services.
Fees and payment
- Paid plans and fees are described at the time of purchase or in an order form.
- Fees are non-refundable except as required by law or expressly stated.
- You authorize us and our payment processors to charge your payment method for fees due.
- Taxes are your responsibility unless we are required to collect them.
Confidentiality
Each party may access confidential information of the other. The receiving party will use reasonable care to protect the other party’s confidential information and will use it only for purposes of these Terms.
Security and data protection
We implement reasonable security measures. Our use of personal information is described in our Privacy Policy.
SMS communications
By using our website and providing your phone number via any form, you agree to receive SMS messages from Better Ledgers regarding your use of our Services. These messages may include transactional alerts, account updates, promotional content, and customer support messages.
- Consent is obtained through a clearly labeled opt-in checkbox on our contact form. You must check this box manually when submitting your phone number. This consent is voluntary and not a condition of purchase.
- Message frequency varies. Message and data rates may apply.

Warranties and disclaimers

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill. Except for payment obligations, each party’s aggregate liability arising out of or related to these Terms will not exceed the amounts paid or payable by you to Better Ledgers in the 12 months preceding the event giving rise to liability.
Indemnification
You will indemnify and hold harmless Better Ledgers and its affiliates, officers, directors, employees, and agents from any claims, losses, and expenses arising from your use of the Services or violation of these Terms.
Suspension and termination
We may suspend or terminate your access to the Services if you violate these Terms, create risk or possible legal exposure for us, or if we stop providing the Services. You may stop using the Services at any time. Upon termination, your right to use the Services ends.
Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. The exclusive venue for any dispute will be the state or federal courts located in New York County, New York.
Export compliance
You must comply with all applicable export control and sanctions laws.
Modifications to the Terms
We may update these Terms from time to time. If changes are material, we will provide notice. Your continued use after the effective date constitutes acceptance of the updated Terms.
